Welcome to Spotlight! These Terms of Service ("Terms") govern your use of the Spotlight application ("Service") provided by us. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Service.

1. Use of Service

1.1 Eligibility

You must be at least 18 years old to use our Service. By using our Service, you represent and warrant that you meet this eligibility requirement.

1.2 Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

1.3 Restrictions

You agree not to use the Service for any unlawful purpose or in any way that might harm, disrupt, or impair the Service. You also agree not to:

• Access, tamper with, or use non-public areas of the Service.
• Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures.
• Use the Service to transmit any malware, spam, or other harmful content.

2. User Content

2.1 Responsibility for Content

You are solely responsible for the content you upload, post, or otherwise transmit via the Service ("User Content"). You represent and warrant that you have all rights necessary to grant us the license to use your User Content as described in these Terms.

2.2 License to Use Content

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, copy, modify, distribute, and display your User Content in connection with operating and providing the Service.

4. Payment and Billing

4.1 Pricing

Spotlight offers three plans. Free is available at no charge for workspaces with up to 5 users, 25 videos, and 2 playlists. Pro is available on a self-serve basis for $10 USD per seat billed monthly or $8 USD per seat billed annually, with a 5-seat minimum. Enterprise is available on a self-serve basis for $8 USD per seat billed monthly or $6 USD per seat per month billed annually, with a 100-seat minimum.

For Enterprise workspaces with 500 or more seats, Spotlight may require a sales-assisted onboarding flow. Spotlight bills paid plans by seat quantity rather than by storage, streams, or watch time.

A seat is an active workspace member who can access Spotlight. When a paid workspace adds or removes members, Spotlight may adjust the billed seat quantity to reflect the current workspace size, subject to the applicable minimum seat commitment.

4.2 Billing Cycle

Pro is available on monthly or annual billing terms. Enterprise is available on monthly or annual billing terms. Billing renews automatically unless the subscription is canceled in accordance with the subscription settings in the Service.

4.3 Payment Methods

We accept various forms of payment, as specified during the sign-up process. By providing payment information, you agree to the use of a third-party payment processor and the terms and conditions governing their services.

5. Intellectual Property

5.1 Ownership

The Service, including all content, features, and functionality, is and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

5.2 Feedback

We welcome feedback, comments, and suggestions for improvements to the Service ("Feedback"). You can submit Feedback by emailing us at [email address]. By submitting Feedback, you grant us the right to use and share such Feedback for any purpose without any compensation or acknowledgment to you.

We reserve the right to suspend or terminate your access to the Service at any time, without notice, for any reason, including if we suspect that you have violated these Terms or are engaging in any activity that is illegal, fraudulent, or harmful.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

7.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.
